These Terms of Use (“Terms”) govern your access to and use of the websites, software, mobile applications, hardware integrations, APIs, cloud services, and related offerings provided by Aeroframe Aviation LLC (“Aeroframe,” “we,” “us,” or “our”), including but not limited to:

(collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
1. Nature of the Services
Aeroframe provides aviation-focused operational software tools intended to assist flight departments, pilots, fixed-base operators (FBOs), ground handlers, and aviation businesses.
THE SERVICES ARE DECISION-SUPPORT TOOLS ONLY.
They do not replace:

Pilot-in-command authority
-
Aircraft flight manuals or manufacturer limitations
-
Operational control procedures
-
Dispatch authority
-
Regulatory compliance obligations
-
Safety management systems
You remain solely responsible for all operational decisions.
2. Eligibility
You must:

Be at least 16 years old (or age of majority in your jurisdiction).

Have authority to bind your organization if using the Services on its behalf.

Comply with all applicable aviation, export, and data protection laws.
3. Account Registration & Security
You agree to:

Provide accurate and current information.
-
Maintain confidentiality of credentials.
-
Notify Aeroframe immediately of unauthorized access.
-
Accept responsibility for activity under your account.
Aeroframe may suspend or terminate accounts for:

Security risks
-
Violations of these Terms
-
Regulatory requirements
-
Nonpayment
4. Aviation Operational Responsibility
You acknowledge:

Calculations rely on user-entered data and/or third-party sources.
-
Weather and aircraft tracking data may be delayed or inaccurate.
-
Operational logs reflect user input and system timestamps.
You are solely responsible for:
-
Verifying fuel loads and aircraft limitations.
-
Confirming weight and balance compliance.
-
Confirming weather, NOTAMs, and airport conditions.
-
Compliance with FAA, EASA, ICAO, or other authorities.
-
All movement, fueling, and de-icing decisions.
Aeroframe is not liable for operational errors resulting from reliance on the Services.
4A. User Responsibility, Operational Suitability & Authorized Use
4A.1 User Responsibility for Actions
You acknowledge and agree that:

You are solely responsible for all actions taken using the Services.
-
All operational decisions, fueling actions, aircraft movements, de-icing procedures, dispatch determinations, and safety judgments remain entirely your responsibility.
-
Aeroframe does not supervise, direct, or control your operational conduct.
Use of the Services does not transfer operational authority to Aeroframe.
4A.2 Subscriber Authorization & Access Control
The Services may only be accessed by:

Authorized subscribers; and
-
Employees, contractors, or staff members expressly authorized by the subscribing organization.
If you subscribe on behalf of a company, you represent and warrant that:

You have authority to bind the organization.
-
You will restrict access to authorized personnel only.
-
You are responsible for all use of the Services under your organizational account.
Aeroframe is not responsible for unauthorized internal use, credential sharing, or failure to control access.
4A.3 Organizational SOP Acknowledgment
By subscribing, each organization expressly acknowledges and agrees that:

The organization has independently evaluated the Services.
-
The organization has determined the Services are suitable for its operations.
-
The organization has developed or will develop appropriate Standard Operating Procedures (SOPs) governing the use of the Services.

The organization has trained its personnel appropriately.
-
The organization has confirmed compatibility of the Services with its aircraft types, operational practices, and regulatory requirements.
Aeroframe does not create, enforce, or validate user SOPs.
4A.4 Operational Suitability & Acceptance of Risk
By using the Services, you agree that:

You have determined the software works for your specific operational environment.
-
You accept all risks associated with its use.
-
You are not relying on Aeroframe to ensure regulatory compliance.
-
You are not relying on Aeroframe to verify aircraft limitations or legal compliance.
If the Services do not meet your operational needs, you must discontinue use.
4A.5 No Responsibility for Negligence or Misconduct
Aeroframe Aviation LLC shall not be responsible for:

Negligent actions by users;
-
Violations of aviation regulations;
-
Improper fueling;
-
Improper de-icing;
-
Improper aircraft movement;
-
Failure to follow internal SOPs;
-
Staff misconduct;
-
Intentional misuse of the software;
-
Failure to verify calculations;
-
Violations of law.
Each subscriber agrees that it remains fully liable for the actions of its employees, contractors, and authorized users.
4A.6 Independent Contractor Relationship
Nothing in these Terms creates:

A joint venture,
-
Partnership,
-
Agency relationship,
-
Operational control relationship,
-
Or safety oversight role
between Aeroframe and any subscriber.
Aeroframe is not a dispatch provider, operational control authority, or regulatory compliance service.
4A.7 Acknowledgment of Safety-Critical Environment
You acknowledge that aviation is inherently hazardous.
You further acknowledge that:

The Services operate in a safety-critical environment.
-
Software errors, user input errors, or misuse can have serious consequences.
-
Final operational authority always rests with trained human operators.
You agree to implement independent verification procedures where required by your operation.
4B. Demonstrations, Pre-Release Software, Beta Features & Production Testing
4B.1 Nature of Demo, Beta & Pre-Release Features
From time to time, Aeroframe may provide:

Demonstration versions
-
Beta features
-
Experimental functionality
-
Hardware prototypes
-
Pre-release software
-
Early access functionality
(collectively, “Pre-Release Features”).
Pre-Release Features may be identified within the Services or communicated separately.
4B.2 Use in Production Environments
You acknowledge and agree that:

Aeroframe operates in real-world aviation environments.
-
Certain features may be tested in live or production environments.
-
Such testing is conducted under internal evaluation protocols.
Aeroframe may deploy, test, monitor, modify, or evaluate features in production systems to improve reliability, safety, and performance.
4B.3 Internal Testing Standards
Aeroframe represents that Pre-Release Features deployed in production environments are subject to:

Internal validation testing;
-
Functional verification;
-
Redundancy review;
-
Backup and fallback planning;
-
Manual override capability where applicable.
However, such testing does not guarantee error-free operation.
4B.4 Subscriber Responsibility During Testing
If a subscriber elects to use or is provided access to Pre-Release Features, the subscriber acknowledges:

Pre-Release Features may contain bugs, errors, or incomplete functionality.
-
Additional oversight and verification procedures may be required.
-
Independent cross-checking is required before relying on outputs.
-
Manual, legacy, or backup operational procedures must remain available.
Subscribers are responsible for maintaining independent fallback methods, including but not limited to:

Manual fueling calculations
-
Paper-based logs
-
Independent weather verification
-
Traditional dispatch and movement controls
4B.5 No Guarantee of Stability
Pre-Release Features:

May be modified at any time;
-
May be discontinued without notice;
-
May not be supported;
-
May produce unexpected outputs.
Aeroframe provides no warranties for Pre-Release Features.
4B.6 Acceptance of Risk
By using Pre-Release Features in a production environment, you expressly acknowledge and accept:

Increased operational risk;
-
Responsibility for additional oversight;
-
Responsibility for ensuring regulatory compliance;
-
Responsibility for confirming safe operational use.
You agree that Aeroframe shall not be liable for damages arising from the use of Pre-Release Features.
4B.7 No Obligation to Continue Features
Aeroframe is under no obligation to:

Release Pre-Release Features publicly;
-
Maintain backward compatibility;
-
Continue supporting experimental functionality.
5. Acceptable Use
You agree not to:

Use the Services unlawfully or fraudulently.
-
Reverse engineer or replicate the software.
-
Access data not intended for you.
-
Interfere with systems or introduce malicious code.
-
Resell or sublicense without authorization.
6. Subscriptions & Payment
Certain features require paid subscriptions.
Payments may be processed through authorized providers (e.g., Stripe).
By subscribing, you authorize recurring charges until canceled.
Fees are non-refundable unless required by law.
Aeroframe may modify pricing with notice.
7. Intellectual Property
All software, branding, design, databases, and documentation are owned by or licensed to Aeroframe.
You are granted a limited, revocable, non-transferable license to use the Services.
You may not:

without written permission.
8. User Data & Operational Data
You retain ownership of data you input.
You grant Aeroframe a worldwide license to:

such data for service delivery, security, analytics, and improvement.
Aeroframe may use anonymized, aggregated data for benchmarking and enhancement.
9. Third-Party Integrations
Services may integrate with third-party data sources, including but not limited to:

FlightRadar24
-
PlaneSpotters
-
Apple Weather
-
Mapbox
Aeroframe does not control third-party data and makes no warranties regarding its accuracy, availability, or completeness.
10. Service Availability
Services are provided “as available.”
Aeroframe does not guarantee:

Continuous uptime
-
Error-free operation
-
Real-time data accuracy
We may modify, suspend, or discontinue features at any time.
11. Government Access & Data Disclosure Policy
11.1 No Voluntary Data Sharing
Aeroframe does not sell, provide, or voluntarily disclose user data to governments, law enforcement, military entities, or third parties.
We do not participate in bulk surveillance programs.
We do not provide backdoor system access.
11.2 Lawful Process Requirement
Data will only be disclosed if:

Required by a valid subpoena or court order;
-
Legally mandated under applicable law; or
-
Required as part of a formal aviation accident or loss-of-life investigation conducted by an authorized investigative authority.
Aeroframe reserves the right to:
-
Challenge overbroad requests;
-
Narrow scope;
-
Seek protective orders;
-
Notify users unless legally prohibited.
11.3 Accident & Loss-of-Life Investigations
If an official aviation authority (e.g., NTSB, FAA, EASA, or equivalent) formally requests data related to an identified accident in which Aeroframe Services were directly used, Aeroframe may disclose only the minimum legally required data.
Disclosure will be limited to incident-relevant logs.
Unrelated user data will not be disclosed.
11.4 No General Government Access
Aeroframe does not grant:

Direct database access
-
Monitoring APIs
-
Administrative access
-
Surveillance capabilities
to any government.
12. Sanctions & Restricted Jurisdictions
Aeroframe does not provide Services to:

Individuals or entities in comprehensively sanctioned jurisdictions;
-
Governments not recognized under applicable law;
-
Entities listed on U.S. sanctions lists (including OFAC SDN);
-
Organizations designated as supporting terrorism or violence.
Access may be blocked in such regions.
Users must comply with all export and sanctions laws.
13. Government & Military Use Restrictions
Aeroframe does not operate as a defense contractor.
Governmental or military users may only use the Services if:

Use is for humanitarian, safety, training, research, or non-combat purposes;
-
Use does not support armed conflict, weapons systems, targeting, surveillance of civilians, or combat operations.
Use of the Services for violent or military combat purposes is strictly prohibited.
Aeroframe may suspend accounts violating this policy.
14. Prohibited Combat Use
The Services may not be used for:

Weapons targeting
-
Combat coordination
-
Military strike planning
-
Autonomous weapons integration
-
Hostile surveillance
Such use constitutes material breach.
15. Export Compliance
You agree to comply with U.S. export laws, including:

Export Administration Regulations (EAR)

Sanctions regulations
You may not export or use the Services in violation of law.
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
AEROFRAME DISCLAIMS ALL WARRANTIES, INCLUDING:

FITNESS FOR A PARTICULAR PURPOSE

NON-INFRINGEMENT

RELIABILITY
We do not guarantee operational outcomes.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
AEROFRAME SHALL NOT BE LIABLE FOR:

Indirect damages

Incidental damages

Consequential damages
-
Loss of profits
-
Operational disruption
-
Regulatory penalties
-
Aircraft damage or safety incidents
Total liability shall not exceed the greater of:

Amount paid in the previous 12 months; or

$500 USD.
18. Indemnification
You agree to indemnify and hold harmless Aeroframe from claims arising out of:

Your operational decisions;
-
Regulatory violations;
-
Incorrect data entry;
-
Prohibited military use;
-
Violations of export laws.
19. Force Majeure
Aeroframe is not liable for failures due to:

Natural disasters

Power outages
-
Internet failures
-
Cyberattacks
-
Government actions
-
War or terrorism
20. Suspension & Termination
Aeroframe may suspend or terminate access for:

Violations of these Terms;
-
Legal requirements;
-
Security risks;
-
Nonpayment.
All rights cease upon termination.
21. Modifications to Terms
We may revise these Terms.
Continued use after posting constitutes acceptance.
22. Governing Law
These Terms are governed by the laws of the State of Michigan, United States.
Disputes shall be resolved exclusively in courts located in Kent County, Michigan.
23. Entire Agreement
These Terms constitute the entire agreement between you and Aeroframe regarding the Services.
